Terms of Service

These Terms govern your use of SocialNira. Please read carefully. By creating an account or using the service, you agree to them.

1. Who we are

SocialNira (the “Service”) is operated by AX SOLUTIONS Jakub Górski, a sole proprietorship registered in Poland, with its place of business at ul. kpt. pilota Żwirki 1C, lok. 4D, 90-448 Łódź, Łódzkie, Poland. Tax identification number (NIP): 9820391754.

In these Terms, “we”, “us” or “SocialNira” means AX SOLUTIONS Jakub Górski. “You” or “User” means the person or organization that has created an account.

2. What the Service does

SocialNira is a publishing tool that helps you compose, schedule, and publish posts to Facebook Pages that you own or manage. The Service connects to Facebook via the official Graph API using credentials you authorize through the standard Facebook OAuth flow.

The Service is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or any of its subsidiaries. “Facebook” is a trademark of Meta Platforms, Inc.

3. Account & eligibility

  • You must be at least 18 years old (or the age of majority in your country) to create an account.
  • You must provide accurate registration information and keep it up to date.
  • You are responsible for all activity that occurs under your account.
  • You must not share your account credentials. Each person needs their own account.
  • We may suspend or delete accounts that violate these Terms, applicable law, or Facebook’s own Platform Terms and Developer Policies.

4. Your content

You retain all rights to the content you upload or compose using the Service (text, images, captions). By using the Service you grant us a limited, non-exclusive license to store, process, and transmit that content for the sole purpose of providing the Service to you — including delivering it to Facebook on your behalf when you schedule or publish a post.

You are solely responsible for ensuring that your content:

  • does not infringe third-party copyrights, trademarks, or other rights;
  • does not violate Facebook’s Community Standards or any applicable law;
  • does not contain spam, malware, deceptive content, or content harmful to minors.

5. Use of Facebook data

When you connect a Facebook account, we request only the permissions strictly necessary to operate the Service (currently: public_profile, email, pages_show_list, pages_manage_posts).

We store:

  • Your Facebook user ID, name, email (if you grant it), and profile picture URL;
  • The list of Pages you manage with their public information and a Page-scoped access token used to publish on your behalf;
  • Records of posts we have published, scheduled, or attempted to publish, with results and any errors returned by Facebook.

We do not sell or share this data with third parties. You can disconnect a Facebook account or delete your entire SocialNira account at any time from the Settings page; doing so removes the stored data within 30 days.

6. Acceptable use

You agree not to:

  • Use the Service to send spam, harass anyone, or distribute illegal content;
  • Attempt to circumvent Facebook’s rate limits, security measures, or terms;
  • Reverse engineer, decompile, or attempt to extract source code from the Service;
  • Use the Service to publish content on behalf of a third party without their explicit written consent;
  • Resell, sublicense, or white-label the Service without a written agreement with us.

7. Pricing & billing

If the Service is offered on a paid plan, the price, billing cycle, and cancellation terms will be presented at checkout and confirmed by email. We may change pricing for future billing periods with at least 30 days’ notice. Cancellation takes effect at the end of the paid period — we don’t pro-rate refunds for unused time.

During the MVP phase, the Service may be free or invitation-only. We reserve the right to introduce paid plans for new accounts at any time; existing accounts will be notified before any change to their plan.

8. Right of withdrawal (consumers)

If you are a consumer in the European Union or the UK, you have the right to withdraw from a paid subscription within 14 days of purchase, without giving a reason. To exercise this right, send a clear statement to legal@socialnira.com. The right of withdrawal does not apply once you have started using the paid features (i.e., published a post under the paid plan), to the extent you have explicitly consented to this and acknowledged that the right is lost.

9. Availability & disclaimers

We aim to keep the Service running 24/7 but do not guarantee uptime. The Service depends on third-party platforms (notably Facebook’s Graph API). We are not liable for outages, rate limits, policy changes, or content rejections originating from those platforms.

The Service is provided “as is”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or €100 if you have not made any payments. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost goodwill, or business interruption.

Nothing in these Terms limits liability that cannot be limited under mandatory law — including liability for intentional misconduct, gross negligence, or death or personal injury caused by our negligence.

11. Complaints

If you have a complaint, please contact us at support@socialnira.com. We will respond within 14 days. Consumers may also use the EU online dispute resolution platform available at ec.europa.eu/consumers/odr.

12. Termination

You may stop using the Service and delete your account at any time. We may terminate or suspend access to the Service if you breach these Terms. On termination, sections 4, 5, 9, 10, 11, 13, and 14 survive.

13. Changes to these Terms

We may update these Terms occasionally. If a change is material, we will notify you by email or in-app at least 14 days before it takes effect. Continued use of the Service after the effective date means you accept the updated Terms. If you don’t agree, you can stop using the Service.

14. Governing law & jurisdiction

These Terms are governed by the laws of the Republic of Poland. Disputes will be resolved by the courts competent for the seat of AX SOLUTIONS Jakub Górski (Łódź, Poland), except where mandatory consumer law gives consumers the right to bring proceedings in their place of residence.
